Terms of Service

1. ELIGIBILITY

You must be at least 18 years old and able to enter into a legally binding agreement to use our Services. By using the website, you represent and warrant that all information you provide is accurate and truthful.

2. DESCRIPTION OF SERVICES

The ADU Exchange provides informational, educational, and marketplace services including, but not limited to:

• Feasibility Reports (Tier 1, Tier 2, Tier 3)
• ADU Blueprint Marketplace (digital plans, designs, and architectural content)
• Trade Partner Directory / Trade Connect
• ADU Financing Information & Tools
• Educational content, training, guides, and online courses
• Professional education and certification programs for licensed real estate professionals (including the ADU Agent Arsenal and the ADU Specialist designation)
• Referral introductions to Biss ADU Solutions Inc. for design-build services
• Digital downloads, calculators, templates, and online tools

The ADU Exchange LLC is not a law firm, engineering firm, architecture firm, or construction company, and does not provide legal, architectural, or engineering services.

3. NO PROFESSIONAL ADVICE

All feasibility reports, zoning summaries, ROI estimates, property evaluations, courses, training programs, certification materials, scripts, templates, and tools are informational and educational only. They:

• Do NOT constitute legal advice
• Do NOT constitute engineering, appraisal, or tax advice
• Do NOT guarantee permit approval or buildability
• Do NOT replace due diligence from licensed professionals

Before making decisions, you agree to consult with a licensed architect, engineer, attorney, surveyor, appraiser, or contractor.

4. FEASIBILITY REPORT DISCLAIMER

Feasibility reports at any tier ($49 / $499 / $1,999) are based on:

• Publicly available information
• Customer-provided information
• Preliminary zoning interpretations
• Non-survey parcel data
• Reasonable assumptions

We do not guarantee accuracy of municipal data, zoning information, GIS maps, parcel lines, setbacks, or interpretations of evolving regulations.

You understand and agree that:

• Tier 1 ($49) is a high-level, preliminary screening only.
• Tier 2 ($499) is a more detailed but still non-binding feasibility opinion.
• Tier 3 ($1,999) includes additional analysis, but is not stamped, certified, or guaranteed.

Only a licensed survey, architectural plan set, engineer, or building department can determine final buildability.

5. DIGITAL PRODUCT TERMS

Digital downloads, plans, templates, feasibility reports, and educational materials purchased from The ADU Exchange are:

• Licensed to the buyer for the buyer's personal use or, for professional education and certification materials, for use in the buyer's own professional practice with the buyer's own clients
• Not to be resold, re-shared, republished, re-taught as a course, or distributed commercially, in whole or in part
• Final sale, as described in Section 10 (Payment Terms)

Blueprints purchased through the Blueprint Marketplace are subject to the creator's license, not The ADU Exchange LLC.

6. CERTIFICATION AND TRAINING PROGRAM TERMS

The ADU Agent Arsenal and the ADU Specialist designation are professional education programs offered to licensed real estate professionals. By enrolling, you represent that you are purchasing for business or professional use in your real estate practice.

• The ADU Specialist designation is issued solely by The ADU Exchange LLC. It is not a government license, a state-issued or state-recognized designation, or an endorsement by any real estate board or association.
• The program is not approved continuing education and does not satisfy any licensing, renewal, or continuing education requirement in any state.
• The designation confers no authority to provide legal, engineering, appraisal, zoning, or tax advice.
• The designation is valid for two (2) years from issuance. Renewal requires successful completion of the then-current renewal examination.
• Each state edition of the program addresses only the state indicated. Requirements vary by municipality and change over time; you are responsible for verifying current state and local requirements and for your own professional conduct and license obligations.
• You agree not to present course content to clients as a legal determination for any specific property.
• The designation may be revoked, without refund, for violation of the program Code of Conduct or misrepresentation of the credential.

7. MARKETPLACE TERMS

The ADU Exchange provides a marketplace where third-party designers, architects, and creators may sell digital ADU plans. We:

• Do not guarantee any creator's credentials
• Are not responsible for accuracy, code compliance, or suitability of any plans
• Do not provide warranties for third-party products
• Are not liable for conflicts, misunderstandings, or contractual disputes between buyers and creators

Buyers must consult licensed professionals before using any plan for construction.

8. TRADE CONNECT NETWORK & PROFESSIONAL DIRECTORIES

The ADU Exchange hosts directories of independent contractors, vendors, trade professionals, and real estate agents (including agents who have completed our certification programs). We:

• Do not endorse, guarantee, or validate any listed trade partner or agent
• Do not verify the competence, licensure status, or performance of any listed professional; a certification listing means only that the agent completed our course program and passed the certification examination
• Are not responsible for pricing, workmanship, delays, or disputes
• Are not a party to any agreement between the homeowner and the trade partner

Users agree to perform their own due diligence.

9. REFERRAL RELATIONSHIP TO BISS ADU SOLUTIONS INC.

The ADU Exchange may provide a referral ("Easy Solution Button") to Biss ADU Solutions Inc. for design-build ADU services.

Users understand that:

• The ADU Exchange LLC and Biss ADU Solutions Inc. are separate legal entities
• The ADU Exchange is not responsible for contracts, pricing, design, construction, or work quality performed by Biss ADU Solutions
• All build contracts are exclusively between the homeowner and Biss ADU Solutions

10. PAYMENT TERMS

By purchasing any Service, you agree to the stated price and terms.

• All sales are final. Digital products, courses, certification programs, feasibility reports, and downloadable content are non-refundable and non-cancellable upon delivery of access.
• Exception: where applicable law provides a non-waivable right of cancellation (for example, certain sales completed in person at a location other than our permanent place of business), that right applies as stated in the notice provided with your purchase.
• Chargebacks initiated in violation of this Section constitute a breach of these Terms and may result in account suspension.

11. USER CONDUCT

You agree not to:

• Misuse, scrape, or reverse-engineer the site
• Send unauthorized marketing or spam
• Copy, replicate, or distribute proprietary content
• Misrepresent your identity or property information
• Attempt to bypass payment systems

Violation may result in removal or legal action.

12. INTELLECTUAL PROPERTY

All logos, designs, templates, branding, content, courseware, website design, and tools are owned by or licensed to The ADU Exchange LLC as original works of authorship and as compilations, unless otherwise stated. Users may not copy, reproduce, modify, sell, or distribute without our explicit permission.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, The ADU Exchange LLC is not liable for financial loss, delays, property damage, survey inaccuracies, permit denials, zoning changes, construction outcomes, errors in third-party plans, misinterpretation of feasibility reports, errors or omissions in educational or course content, or outcomes arising from any participant's application of training materials.

Maximum liability is limited to the amount paid for the product or service.

14. INDEMNIFICATION

You agree to indemnify and hold harmless The ADU Exchange LLC, its owners, officers, employees, licensors, and partners from any claims or damages arising from use of our website, reliance on reports, disputes with contractors or vendors, use of marketplace plans, use of Trade Connect services, or your use of course materials, scripts, or training content in your business, including claims brought by your clients.

15. MODIFICATIONS TO TERMS

We may update these Terms at any time. Continued use of the website means you accept the updated policy.

16. GOVERNING LAW

These Terms are governed by the laws of the State of Massachusetts. Any disputes must be resolved in Bristol County, MA (or applicable Massachusetts courts).
