Terms of Use

These Terms of Use (the "Terms") govern your access to and use of theaduexchange.com and the tools made available on it, including the Agent Intelligence Suite: the Agent Dashboard, Agent CRM, Buyer's ADU Analyzer, Seller's ADU Analyzer, Permit Pathfinder, Pro Command Center, Financial Command Center, ADU Property Manager, and related pages (together, the "Tools"). The Tools are operated by The ADU Exchange LLC ("The ADU Exchange," "we," "us"). By using the site or the Tools you agree to these Terms. If you do not agree, do not use them.

1. What the Tools are, and what they are not

The Tools are informational and organizational aids for real estate professionals, homeowners, and others interested in accessory dwelling units in New England. They generate estimates, scores, checklists, concept sketches, document drafts, and organizational records based on the information you enter.

“Tools” as used in these Terms includes all agent tools, analyzers, calculators, dashboards, and any listing, client, or report language they generate.

The Tools are not, and do not provide, legal, financial, tax, investment, appraisal, engineering, surveying, architectural, construction, insurance, or other professional advice. No output of any Tool creates a professional-client relationship with The ADU Exchange. Specifically:

• Readiness scores and analyzer scores are preparation aids, not predictions or guarantees of permit approval, buildability, or value. Permit decisions rest solely with municipal authorities.
• Financial outputs are illustrative estimates, not guarantees, forecasts, or advice. Verify all figures with licensed lenders, accountants, appraisers, and contractors before acting.
• Legal citations and regulatory summaries are provided for orientation. Laws change and local rules vary; verify current requirements with the municipality and consult a licensed attorney.

2. Professional responsibility

If you are a licensed real estate professional, you remain solely responsible for your own compliance with licensing laws, brokerage policies, MLS rules, advertising rules, and, where applicable, the REALTOR® Code of Ethics. Sample scripts, templates, and talking points are starting drafts; review and adapt them before use and never present potential as a promise.

3. Your data and where it is stored

The Tools store the information you enter (including any client or tenant information) within the web browser you use on your own computer or device. Separately, The ADU Exchange collects account, usage, and analytics information in connection with the site and the Tools as described in the Privacy Policy, which governs our data practices. Consequences you accept:

• You are responsible for backing up your data using the export features. Clearing browser data, using private browsing, or switching browsers or devices can erase or hide it.
• You are responsible for handling any personal information you enter in compliance with applicable privacy, consumer protection, and telemarketing laws, and with any duties you owe clients or tenants.

The Privacy Policy is the controlling description of what is collected and how it is used.

4. Subscriptions, billing, and cancellation

Access to the Agent Intelligence Suite tools may require a paid subscription. If you purchase one, the following applies:

• Free trial. New subscriptions may include a free trial (currently 7 days) as presented at checkout. A valid payment card is required to start the trial. If you do not cancel before the trial ends, your card is automatically charged the subscription price presented at checkout, and monthly renewals begin. You can cancel during the trial at no charge through the billing portal linked from your account, and Stripe sends a reminder email before a trial that lasts more than a few days ends.
• Plans. Subscription tiers may differ in price and included benefits; for example, the Pro tier includes an ADU Exchange membership profile on theaduexchange.com while the Suite tier includes tool access only. The benefits of your tier are those presented at checkout.
• Billing. Subscriptions are billed in advance on a recurring monthly basis through Stripe, our payment processor, at the price presented at checkout plus any applicable taxes. Your subscription renews automatically each month until cancelled.
• Payment information. Payment card details are collected and processed by Stripe under Stripe's own terms and privacy policy; The ADU Exchange does not store your full card number.
• Cancellation. You may cancel at any time through the billing portal linked from your account. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments already made are not refunded and no prorated refunds are issued for partial months.
• Failed payments. If a renewal payment fails, access to the subscription tools may be suspended until payment succeeds.
• Price changes. We may change subscription pricing with advance notice; changes apply at your next renewal, and your continued use after the effective date constitutes acceptance.

5. Acceptable use and license

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Tools for your own professional and personal purposes. You agree not to: copy, resell, sublicense, or redistribute the Tools; remove branding, disclaimers, or legal notices; use automated systems to scrape or bulk-download the Tools; misrepresent Tool outputs as professional certifications, surveys, appraisals, or guarantees; or use the Tools for any unlawful purpose.

6. Intellectual property

The Tools, their design, text, and branding are the property of The ADU Exchange LLC. The ADU Exchange™ and the New England ADU Ecosystem™ names and logos are trademarks of The ADU Exchange LLC. REALTOR® is a registered trademark of the National Association of REALTORS®. Third-party marks belong to their owners. Content you enter into the Tools remains yours.

7. Third-party services

The Tools load resources from third parties (for example fonts, map imagery, code libraries, and analytics). Those services are governed by their own terms, and their availability is outside our control. Referrals or directories of third-party professionals and organizations are provided for convenience; The ADU Exchange does not employ, control, or guarantee any third party, and any engagement is solely between you and them. Verify current contact information, licensing, and insurance directly.

8. Disclaimer of warranties

THE SITE AND THE TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE TOOLS WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE, CURRENT, OR COMPLETE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ADU EXCHANGE LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOST OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR THE TOOLS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SITE OR THE TOOLS WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless The ADU Exchange LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Tools, your violation of these Terms, or your violation of any law or the rights of a third party, including claims by your clients or tenants relating to information you entered or advice you gave.

11. Changes, suspension, and termination

We may update, change, suspend, or discontinue the Tools or these Terms at any time. Updated Terms take effect when posted on this page with a new effective date, and continued use means acceptance. Because Tool working data lives within the browser you use, export your data regularly; discontinuation of a Tool does not delete data stored in your browser.

12. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Massachusetts for any dispute not subject to informal resolution. Before filing any claim, you agree to contact us and attempt in good faith to resolve the dispute informally for thirty days.

13. Miscellaneous

If any provision of these Terms is found unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and The ADU Exchange LLC regarding the site and the Tools. Failure to enforce a provision is not a waiver.
